Terms of Use

Owner: Nuxera Studio (“Nuxera”, “we”, “us”, or “our”)‍

Site: nuxerastudio.com and any subdomains (the “Site”).

These Terms of Use (“Terms”) govern your access to and use of the Site, our blog, downloadable resources, and any contact, demo or intake forms (collectively, the “Services”). By accessing or using the Site, you agree to these Terms, and you also agree to our Privacy Policy and Cookie Policy, which describe how we collect, use, and store your personal data.

If you do not agree, do not use the Site.

1. Who may use the Site

You must be at least 16 years old (or the age of digital consent in your jurisdiction). If you access on behalf of a company, you represent you’re authorized to bind that company to these Terms.

2. Changes to these Terms

We may update these Terms from time to time. The “Last updated” date reflects the current version. Material changes will be reasonably highlighted (e.g., notice on this page). Continued use after changes means you accept the new Terms.

3. Content & intellectual property

All content on the Site (text, logos, visuals, blog posts, layouts, downloadable files, and templates) is owned by Nuxera or our licensors and is protected by IP laws. We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Site for its intended purpose.

You agree not to copy, modify, distribute, sell, scrape, text/data-mine, or reverse engineer any part of the Site unless we give prior written permission.

4. Acceptable use

You agree not to:

  • Violate any law or third-party right.
  • Upload or transmit malware, bots, or harmful code.
  • Attempt to gain unauthorized access to any system.
  • Interfere with or disrupt the Site’s operation.
  • Use the Site to build a competing service or to train generalized AI models without written permission.

5. Information you submit

If you submit content (e.g., forms, inquiries, feedback, file uploads), you grant Nuxera a non-exclusive license to use it to operate the Site and respond to your request(s). Do not submit confidential or proprietary information unless we’ve signed a separate written agreement. You represent you have all rights needed to share what you submit.

6. AI features & limitations

From time to time, the Site may include assistants or automated responses (e.g., chat widgets, email draft automations, or dynamic guides) powered by AI providers. AI can be helpful but is not perfect. Outputs may contain errors or be incomplete.

  • Human control. You can request human follow-up or disable AI features in client projects we manage.
  • Provider use. For API-based integrations, we configure reputable providers and use available settings to limit data use for provider training and retention where possible (see provider policies).
  • No professional advice. AI outputs and blog content are for informational purposes only and are not legal, financial, tax, medical, or other professional advice.

We maintain human oversight, testing, and iterative tuning to reduce inaccuracies and keep responses aligned with your brand and policies. (This is further described in our privacy policy and client agreements.)  

7. Testimonials & case studies

We may publish testimonials or case studies. Where required, we make clear and conspicuous disclosures about material connections or typicality of results, consistent with the FTC’s Endorsement Guides.  

8. Blog & educational content

Articles and resources on our blog are provided for general informational purposes only and may include opinions. We make reasonable efforts to ensure accuracy at the time of publication but do not guarantee completeness or that content reflects the most current developments.

9. Purchases, subscriptions & renewals

(a) Studio retainers (services). If you purchase ongoing services (e.g., retainers), the scope, fees, billing period, renewal and cancellation terms will be set out in a written proposal, order form, or master services agreement between you and Nuxera. If an order states auto-renewal, it will renew per the stated term unless you provide timely notice of non-renewal via the method described in your order.

(b) Downloadable resources (digital products). From time to time, we may offer paid templates, guides, or resources for download:

  • License. Unless otherwise stated at checkout, purchases grant a single-business, non-transferable license for your own business use. Resale, redistribution, or public sharing of files is prohibited.
  • No chargebacks for delivered files. Due to the nature of digital goods, sales are typically final once files are delivered, except where consumer law requires otherwise. Any special refund policy will be clearly stated at point of sale.

(c) Auto-renewal transparency (Florida). For service contracts with an automatic renewal provision, Florida law requires clear, conspicuous disclosures and, for certain longer-term contracts, specific renewal notices and an easy cancellation procedure. We design our renewal notices and cancellation methods to follow these requirements.  

(d) Taxes & payment processors. Prices may exclude applicable taxes. Payments are processed by third-party providers (e.g., Stripe). Your use of a processor is subject to its terms and privacy policy.

10. Third-party services & links

Our Site may link to or embed third-party services (e.g., analytics, PMS/CRM, payment processors, AI providers). We are not responsible for their content, policies, or practices. Your use of third-party services is governed by their terms.

11. Cookie usage and consent  

We use cookies and similar tracking technologies (e.g., Google Analytics, Hotjar, HubSpot) to analyze traffic, personalize content, and improve your experience.

You may withdraw or update your consent at any time using the settings link provided in the banner or footer.

12. Electronic acceptance

You agree that clicking buttons or checkboxes (e.g., “I agree”), submitting forms, or otherwise using the Site constitutes your electronic signature and acceptance of these Terms to the extent permitted by law, including the E-SIGN Act (15 U.S.C. § 7001 et seq.).  

13. Copyright (DMCA) policy

In compliance with the Digital Millennium Copyright Act (“DMCA”), Nuxera Studio LLC has designated a Copyright Agent to receive notifications of claimed copyright infringement.

If you believe that your copyrighted work has been used in a way that constitutes infringement, please submit a written notice including the following information, as required by 17 U.S.C. § 512(c)(3):  

1. Identification of the copyrighted work claimed to have been infringed.  

2. Identification of the material that is claimed to be infringing, and information sufficient to locate the material.  

3. Your contact information (name, address, email, and phone number).  

4. A statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent, or the law.  

5. A statement, under penalty of perjury, that the information in your notice is accurate and that you are authorized to act on behalf of the copyright owner.  

6. Your physical or electronic signature.

14. Disclaimers

THE SITE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, NUXERA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not guarantee uninterrupted or error-free operation, or that content is accurate or complete.

15. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NUXERA WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE; ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR RELIANCE ON SITE CONTENT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. Our total liability for any claim relating to the Site will not exceed USD $100.

16. Indemnity

You agree to indemnify and hold harmless Nuxera and its owners, contractors, and affiliates from any claim, loss, or expense (including reasonable attorneys’ fees) arising out of (a) your misuse of the Site; (b) your violation of these Terms; or (c) your violation of any law or third-party right.

17. Disputes; governing law; venue

These Terms are governed by the laws of the State of Florida, without regard to conflicts principles. You consent to the exclusive jurisdiction and venue of the state and federal courts located in Florida for any dispute not subject to arbitration.

18. Termination

We may suspend or terminate access to the Site at any time for any reason, including if you violate these Terms. Sections that by their nature should survive termination shall survive (e.g., IP, disclaimers, limitations of liability, governing law).

19. Entire agreement; severability; assignment

These Terms constitute the entire agreement between you and Nuxera regarding Site use. If any provision is found unenforceable, the remaining provisions remain in effect. You may not assign these Terms without our prior written consent; we may assign them as part of a reorganization, merger, or asset transfer.

20. Notice to users in the European Economic Area (EEA)  

Although our services are primarily intended for businesses based in the United States and Latin America, visitors from the EEA may access the Site.

If you are located in the EEA, please note that your personal data may be transferred to and processed in countries outside the EEA, including the United States. We take steps to implement appropriate safeguards to ensure adequate protection of your data, as described in our Privacy Policy.

You have certain rights under the General Data Protection Regulation (GDPR), including the right to access, correct, or delete your data, and to lodge a complaint with your local data protection authority.

21. European dispute resolution

European consumers may be entitled to use the EU’s Online Dispute Resolution (ODR) platform, available at https://ec.europa.eu/consumers/odr, to resolve disputes. We do not commit to using any specific dispute resolution body and are not obligated to participate in ODR procedures.

22. Surviving provisions

The provisions of these Terms that by their nature should survive termination shall survive, including but not limited to provisions on intellectual property, disclaimers, limitations of liability, indemnification, dispute resolution, and governing law.
